TERMS OF SERVICE SaaS Pay-As-You-Earn Point of Sale (POS) Platform Effective Date: 13-02-2026 Last Updated: 13-02-2026 ________________________________________ 1. INTRODUCTION Welcome to SaaS POS (“we”, “our”, “the Platform”). These Terms of Service (“Terms”) govern your access to and use of our Pay-As-You-Earn (PAYE) Point of Sale system, including all related software, services, and websites. By creating an account, accessing, or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform. ________________________________________ 2. DEFINITIONS • Platform: The SaaS POS system, website, and related services. • User: Any person accessing the Platform. • Tenant: A registered business using the Platform. • Super Admin: Platform owner/operator. • PAYE (Pay-As-You-Earn): A pricing model where fees are charged only when sales are made. • Wallet: The virtual balance used to deduct PAYE charges. • Transaction: Any recorded sale or business operation on the Platform. ________________________________________ 3. ELIGIBILITY You must: • Be at least 18 years old and above. • Have legal authority to operate a business in your country. • Provide accurate and complete registration information. We reserve the right to suspend or terminate accounts that provide false or misleading information. ________________________________________ 4. ACCOUNT REGISTRATION & SECURITY • You are responsible for maintaining the confidentiality of your login credentials. • You are responsible for all activities performed under your account. • You must notify us immediately of any unauthorized access or security breach. We are not liable for losses caused by your failure to secure your account. ________________________________________ 5. PAY-AS-YOU-EARN (PAYE) PRICING MODEL 5.1 How PAYE Works • A small percentage fee is charged per successful sale. • Fees are deducted automatically from your wallet. • No sales = no charges • No monthly subscriptions or hidden fees. 5.2 Platform Rate • The current platform rate is displayed on the website and may be updated from time to time. • Any rate changes will be communicated in advance via the Platform. ________________________________________ 6. WALLET & PAYMENTS • You must maintain a sufficient wallet balance to process sales. • If wallet balance is insufficient: o Transactions may be limited or paused • Wallet balances are non-refundable unless required by law. ________________________________________ 7. ACCEPTABLE USE You agree NOT to: • Use the Platform for illegal activities • Manipulate sales or billing data • Attempt to bypass PAYE deductions • Interfere with system security or integrity • Upload malicious software or harmful content Violation may result in immediate suspension or termination. ________________________________________ 8. DATA & PRIVACY • You retain ownership of your business data. • By using the Platform, you grant us permission to process your data solely to provide services. • We implement reasonable security measures but do not guarantee absolute protection. SYSTEM AVAILABILITY & OFFLINE MODE • The Platform is provided “as is” and “as available”. • Offline functionality may be available but data synchronization depends on system conditions. • We are not responsible for data issues caused by: o Extended internet outages o Device damage o User misconfiguration ________________________________________ 10. THIRD-PARTY INTEGRATIONS The Platform may integrate with third-party services (e.g., payments, analytics, tax systems). • We are not responsible for third-party failures • Use of third-party services is subject to their own terms ________________________________________ 11. TERMINATION We may suspend or terminate your account if: • You violate these Terms • You misuse the Platform • Required payments are consistently unpaid • Legal or regulatory requirements demand it You may stop using the Platform at any time. ________________________________________ 12. LIMITATION OF LIABILITY To the maximum extent permitted by law: • We are not liable for indirect, incidental, or consequential damages • Total liability shall not exceed the fees paid by you in the last 3 months ________________________________________ 13.
